Purchase Agreement

This Purchase Agreement is part of our Terms of Use at http://www.teachtown.com/TermsOfUse, and any capitalized terms
used but not defined in this Purchase Agreement will have the same meaning as in our Terms of Use. You may purchase
merchandise such as software on this site (“Products”); you also may purchase services such as a subscription
(“Services”).
Unless otherwise expressly provided on the Site, if you would like to purchase any Products or Services offered on the
Site, your purchase will be governed by the terms of this Purchase Agreement.
Payment Methods and Billing
If you wish to purchase Products or Services at the Site, you must provide valid credit card information on the Site’s
order form. We currently accept the following credit cards: VISA, MASTERCARD, and AMERICAN EXPRESS. By submitting such
credit card information, you give TeachTown permission to charge your purchases to the card that you designate on the
order form. We reserve the right to cancel any order, at any time and for any reason. If your credit card has already
been charged and your order is cancelled, you will receive a credit to your card account in the amount of the charge.
We will not be responsible (i) for any charges that your card issuer may apply to you as a result of our processing your
order, (ii) if your card issuer refuses or fails to authorize payment by you, or (iii) for any delays or non-delivery of
Products or Services that may arise due to any validation checks that may be carried out regarding your payment or
identification. If you are under 18 years of age, you may only order Products or Services on the Site with a parent or
guardian.
Order Acceptance
There may be certain orders that we are unable to accept and must cancel. We reserve the right, at our sole discretion,
to refuse or cancel any order for any reason. For your convenience, you will not be charged until your payment method is
authorized, the order information is verified for accuracy, and your order is shipped.
Some situations that may result in your order being cancelled include limitations on quantities available for purchase;
inaccuracies or errors in product or pricing information; or problems identified by our credit and fraud avoidance
procedures. We may also require additional verifications or information before accepting any order. We will contact you
if all or any portion of your order is canceled or if additional information is required to accept your order. If your
order is canceled after your credit card has been charged, we will issue a credit to your card in the amount of the charge.
Order Returns
You may return any Product purchased from the Site for any reason within thirty (30) days of purchase. Services are
not returnable. You will receive a full refund for unopened items in the original form of payment. If you have a
product that you would like to return, please call our customer service center at 1-800-644-7811. To expedite your
request, please have the following information ready: (1) the reason you wish to return your purchase, (2) your order
number which can be found on the invoice, and (3) the date you purchased the Product or Service. The customer service
center will give you the address to mail the Product and the receipt. Shipping and handling charges are non-refundable.
For returns via mail, you must carefully package the Product, you are responsible for the cost of return shipping, and
we must physically receive the return within the thirty (30) day period. TeachTown reserves the right, at its sole
discretion, to reject any return that does not comply with these requirements.
Shipping and Handling; International Orders
The prices displayed on this Site are quoted in U.S. dollars. You are responsible for the payment of any shipping and
handling charges and state and local sales or use taxes that may apply to your order.
If you place an order for shipment to an international address, you will be responsible for paying any VAT and other
taxes, tariffs, import or export duties, customs brokerage, and other similar fees imposed on such orders. These taxes,
duties and fees, if assessed, are the sole responsibility of the package recipient, who will be billed for them by the
local government agencies. International shipment rates vary based on total package weight and final destination.
Pricing on the Site does not include duties, insurance costs, tariffs, or value-added taxes.
With respect to shipments of Products to consumers, wherever they may reside, title to Products and risk of loss shall
pass to the buyer upon delivery of the Products to the common carrier. You are solely responsible for providing us with
accurate shipping information, and in the event that any Product is returned to us as a result of your failure to do so,
you shall be responsible for any additional shipping fees or other charges that may be applied.
Information regarding estimated delivery schedules, delivery options, and payment terms are clearly posted on each
Product page, but are only estimates. Orders are typically shipped standard ground delivery.
Subscription Services
By ordering the TeachTown Subscription Service (“Service”), you understand that TeachTown will, on a monthly
basis, charge the credit card number you have provided to us. The first monthly subscription fee will be assessed 30
days after your first use of the TeachTown software provided that you have not cancelled with us by phone during the trial
period. The fee will be assessed monthly thereafter, until you notify us that you wish to terminate the Service. The
monthly fee will equal the TeachTown subscription fee then in effect for the Service.
With respect to subscription fees, we reserve the right to change the amount of, or basis for determining, any
subscription fees, and to institute new fees, effective upon prior notice to you. Similarly, we reserve the right to
modify any other terms of such membership (for example, the duration of the membership or any of the features or services
offered to our members), upon prior notice to you. If you have a current membership at the time that any new or revised
fees or any change in the duration of the membership takes effect, such fees or new duration will only apply to your
subscription if and when your membership is renewed. We may give notices to you by means of a general notice on the Site
or by e-mail to your e-mail address.
By ordering the Service, you also consent to TeachTown periodically confirming with a third party credit verification
service that your credit card is valid and can be assessed the monthly subscription fee. You understand that if the
validity of your credit card is questioned in any manner, we reserve the right, in our discretion, to immediately
terminate your access to the Service.
It is important to us that you are truly satisfied with our products and services. If you are in any way unsatisfied with
the Service, please contact us at support@teachtown.com and explain your concerns. If you are dissatisfied with the
Service and contact us by phone within 30 days of your first use of the Service, we will not assess any fees for your use
of the Service.
To terminate the Service during the first 30 days of use, please contact TeachTown by phone, 1-800-644-7811. To terminate
your monthly subscription at any time after the trial period, please log into TeachTown.com, navigate to the student account,
and follow the directions there to notify us of your desire to terminate the Service. Your account will be terminated
effective at the end of the chosen membership term. TeachTown’s assessment of the monthly subscription fee will cease no
later than 30 days after you have provided us with notice of your desire to terminate the Service in accordance with those
instructions. TEACHTOWN OFFERS NO REFUNDS EXCEPT WHERE PROHIBITED BY LAW.
Pricing or Typographical Errors
We use our best efforts to provide accurate product and pricing information. However, pricing or typographical errors may
occur. In the event that an item is listed at an incorrect price or with incorrect information due to an error in pricing
or product information, TeachTown shall have the right, at our sole discretion, to refuse or cancel any orders placed for
that item. If an item is incorrectly priced, we will either contact you for instructions or cancel your order and notify
you of such cancellation. Prices and availability are subject to change without notice.
Additional Terms
Additional terms relating to certain Products or Services (such as prices, methods of payment, our policies with respect to
returns, refunds, and cancellations and/or exchanges) may be posted on the Site on the pages describing the Products.
